This Terms and Conditions (T&C) governs the relationship between the Customer (you) and SOL CAFE AND FLORAL BOUTIQUE L.L.C (SOL). Please read the terms and conditions provided below before setting up your account or placing your order online. By completing your account set-up and/or completing your purchase in our website, you acknowledge and agree that you have read, understood and agree with the terms and conditions outlined below.

1. Definitions

SOL CAFE AND FLORAL BOUTIQUE L.L.C (SOL)) – Operator and Owner of www.solfloralboutique.ae or this website (“Site”); also referred to as “Us”, “We”, “Our”.
Customer – any party/ies directly purchasing of goods in this website, referred to as “you” “Buyer”

Goods – all merchandise offered or sold on this website
Seller/Manufacturer/Supplier – merchants/suppliers/manufacturers offering the sale of their products on this website
Service – facility offered by SOL on this website, the software and all information, linked pages, features, data, text, images, videos, photographs, application and any features added

2. General

All terms and conditions are set out in this T&C. Any other contractual terms of the customer contrary to, or inconsistent with the provisions herein, or inexistent herein shall not apply.
Your use of the website is effective until terminated. By continuing to use the website and availing the service offered in this website, the Customer shall be deemed to have accepted these terms and agreed to be bound thereby. If for some reason you are not amenable to these terms, please do not proceed or use our services and refrain from accessing our site. 2

Thus, you agree to:
1. abide by the mercantile and other relevant laws of the UAE, including but not limited to export and import restrictions, selling, buying and trading of prohibited and restricted items;
2. use the Services for only legitimate and legal purposes;
3. use only your own personal credentials in setting up an account and processing orders in the site or with permission and consent from the data owner, if using other person’s data;

4. not interfere in any way on the peaceful availment of the services of others by manipulation, machination or other scheming devices;
5. not to upload malicious, indecent or lewd photos, videos, comments and other similar contents;
6. abide by the terms and conditions and policies on the use of the website.

SOL will not screen Users to the site. However, it reserves the right to remove any information or content in violation of the terms herein or the rules, laws and regulations of UAE.

3. Accounts Safety and Security

Setting up an Account
You are responsible for all personal data you supply in setting up your account and that you own these data or have the permission to use such data and ensure that you comply with the applicable confidentiality and

data protection laws. SOL reserves the right to refuse, cancel or terminate your account at its sole discretion if your account is suspicious and used for fraudulent purposes.

Data Privacy
Before setting up your account, you acknowledge that you have read, understood and expressly agree and consent to the processing of your Personal Data as provided for in our Privacy Policy. If you do not agree or cannot give your consent thereto, kindly refrain from setting up your account in this site.
Legal Capacity 3

This agreement requires that you are 18 years old or above, or in short, of legal age to give your consent. If you are a minor or below the legal age of 18 years old, or required by law to obtain permission from a parent or legal guardian before setting up an account, or you do not know whether you have the legal capacity to give consent, perform obligations under these Terms, please do not create an account. Minors shall not

register as User and/or transact on or use the website.

Account Security
You are responsible for all your credentials and ensure that they are updated as necessary, especially your password. Likewise, access to, all activities occurring in your account and the overall use of your account, regardless if the said access, activity or use was done by you or another person shall be your sole accountability. Inform us immediately in case of unauthorized access. You hold SOL free and harmless from any liability, including loss or damage due to unauthorized use of your account and/or failure to observe the safety measures to secure your account.

We reserve the right to refuse, suspend access to the website or to open/set up, or terminate your account for any reason and in our sole discretion.
You can request for termination of your account at info@auriga.ae. All transactions and activities relating to your account prior to or after the termination shall be your sole responsibility and ensure that any obligation to SOL, its Service Providers, or to your Seller/Manufacturer/s are resolved after such termination.

4. Privacy

Here at SOL, we value your privacy. We implement measures to protect your privacy on best effort basis. We also urge you to be responsible and observe safety and security measures for the protection of your data. Please refer to our Privacy Policy for more information. 4

5. Seller/Manufacturers

This website is a marketplace where Seller/Manufacturers and Buyers are provided the platform to process

sale transactions. The actual contract of sale is between the Seller/Manufacturer and the Buyer with no obligation on the part of SOL pertaining to listing, warranty, payment and delivery of goods purchased or completion of transaction and/or anything relating to the Contract of Sale.
Our Seller/Manufacturers may be within UAE or outside the country which shall be indicated in the Seller/Manufacturer’s profile.

A separate Terms governs SOL’s Seller/Manufacturers. If you are a Seller/Manufacturer, kindly refer to our Sell at SOL CAFE AND FLORAL BOUTIQUE L.L.C.

6. Products

All Products and the Service are subject to change without prior notice. SOL reserves the right to add, change, limit the Seller/Manufacturers or the Service and products sold in the website.
All information, details, warranties, guarantees and other matters relating to the products on our website are directly from the Seller/Manufacturers. Any clarification, questions or complaints relating to the products shall be directed to the Seller/Manufacturer, which process is also supported in the website.

7. Pricing

The prices quoted per item in the website are all set by their respective Seller/Manufacturers. Unless otherwise stated, all published pricing are exclusive of taxes. Any pricing error or misquotation shall be resolved between the Buyer and the Seller/Manufacturer.
Promotions and Sales

SOL may, from time to time, conduct sitewide promotions or other types of sale. The availment, enjoyment and processing of the transaction may be governed by a unique set 5

of terms for that particular promotion or sale which shall be published before or during the promotion/sale. SOL does not offer any guarantee as to the availability, discounts, best pricing and recurrence of such promotion or sale.

8. Restrictions

This Service is only applicable to residents of UAE. Customers outside UAE may avail of the site’s service and purchase goods at their own risk and subject to the import and export restrictions of UAE and their countries. SOL CAFE AND FLORAL BOUTIQUE L.L.C shall not be responsible for any loss or damage or violations due to such transaction.

We will not trade with or provide any services to OFAC (Office of Foreign Assets Control) and sanctioned countries in accordance with the law of UAE.
SOL or the Seller/Manufacturer reserves the right to impose restrictions or order limits as maybe necessary or as required by law.

9. Orders and Payments

Orders
The processing of sale transactions in the website is configured in such a way that the same is completed smoothly end-to-end. However, SOL does not guarantee full performance thereof and shall not be liable for any loss or damage due to server downtimes, glitches, errors and any other events affecting the Service. Buyer shall be completely responsible for the payment and shipping information and holds SOL free and harmless from all liabilities, losses and damages arising out of erroneous information supplied.

Regardless, all orders completed in the website shall be processed by and shipped from the Seller/Manufacturer. 6

Payment
SOL supports the following payment methods:
1. Credit/Debit Card – we engage third party service providers for the processing of credit card payments. AED currency will be accepted for Visa or Mastercard payments. By using this payment method, you authorize SOL and its third party Service Provider to initiate applicable entries to your credit/debit payments in connection with the processing of your orders, rewards, if any, changes in the order as agreed to by the

Seller/Manufacturer and you as the Buyer, settlement of disputes, investigation of suspicious or fraudulent activities and other similar activities. Cardholder must retain copies of transaction records.

2. Bank Transfer – SOL provides its designated bank account wherein the buyer may transfer payment from his/her bank, subject to verification and confirmation of receipt of such payment, which process is also provided for in the site. If no confirmation is received within three (3) days, our system automatically cancels your order.

3. Cash on Delivery (COD) – depending on the Seller/Manufacturer, SOL may offer this service wherein the buyer can pay for his/her purchases, including shipping fees upon actual delivery of the item/s.

4. Others – SOL may implement other payment methods from time to time and on its sole discretion.

Where applicable, SOL reserves the right to refuse the payment method used and require another for any reason. Further, you authorize SOL CAFE AND FLORAL BOUTIQUE L.L.C to verify your identity and authority in

the use of payment methods for fraud detection and prevention. SOL CAFE AND FLORAL BOUTIQUE L.L.C reserves the right to automatically suspend, cancel or terminate any transaction if found to be suspicious, fraudulent or unauthorized.
Cancellation

You may cancel your order prior to shipping for any reason. Refunds are governed by our Refunds and Returns Policy. Kindly refer to the same. 7

SOL CAFE AND FLORAL BOUTIQUE L.L.C or the Seller/Manufacturer may cancel your order due to the following reasons:
1. non-payment of your order;
2. failure to supply us with the shipping information;

3. multiple purchases to circumvent terms or order limits;
4. exorbitant/bulk quantities restricted by law or the terms herein; 5. other analogous circumstances.

10. Shipping and Delivery

Fees
Unless stated otherwise, handling, shipping and delivery fees are for the account of the buyer at such rate/s provided herein and/or published on this site.
We ship mainly within UAE, to GCC. We use Third Party couriers to deliver your orders. Neither us nor the courier is responsible for non-delivery due to erroneous address/delivery information. Hence, it is important that you provide and ensure correctness of required delivery information and contact details.
Lead Time
Estimated delivery time will also be provided for every order completed. Delivery within UAE cities will be 1-3 business days and 7-10 business days for GCC.
You shall be responsible for tracking the order and ensure its receipt. For delays outside our or the courier’s

control, we will contact you and rearrange shipping on best effort basis. However, failure to deliver due to your refusal to receive or nobody will receive or failure to rearrange delivery despite several attempts, shall entitle us to cancel your order without liability to us. Costs of rearranging the delivery shall be borne by the erring party. 8

Rates
All shipping and handling costs are for Buyer’s expense, except when it is indicated as “Free Shipping”. Local deliveries shall be charged AED 45, while international shipping fee shall be indicated upon checkout, depending on the destination country. All taxes and tariffs for international shipments shall be for the

account of the Buyer and SOL shall not be held liable for non-delivery for failure of the buyer to pay such applicable taxes and tariffs in their country.

11. Refunds and Returns

Refunds and returns are generally accepted. Kindly refer to our Refunds and Returns Policy for more details. 12. Product Review/Feedback

The site provides a mechanism where you can post comments, product reviews and feedback regarding your overall experience on the site.
You shall ensure that the content, including the photographs and/or videos are in accordance with these Terms and applicable laws where you shall be solely responsible and liable.

We reserve the right, without notice and on our sole discretion, to delete, take down or provide other permissible sanctions on comments, reviews or feedback which we find to be obscene, indecent, illegal and in violation of other’s rights, these Terms and of the laws.

13. Warranties and Indemnities

SOL offers no warranties except those implied and required by law which cannot be excluded with respect to the Service offered on this site. 9

You undertake to fully comply at all times, with the Terms and Conditions and other policies governing the use of this site and with all applicable laws, rules and regulations.
You acknowledge and warrant that you have full authority to initiate and transact purchases on the site, whether personally or in representation of another person or entity, relied on your own judgment on the suitability of your purchase for the intended purpose, and shall indemnify SOL from and against any suit, claim, demand or compensation which you or your agents, or representatives may have had against SOL.

14. Liability

Each Party shall undertake to comply with the Terms herein and all applicable laws. The erring party shall be liable for loss, damage or injury due to acts in violation of laws, product use, fraud or gross misrepresentation.
You agree to indemnify and hold harmless SOL CAFE AND FLORAL BOUTIQUE L.L.C, its directors, officers, agents, third party Service Providers, employees, Seller/Manufacturers, suppliers, agents and representatives for any losses, damages or injuries relating to claims made by third party to you by reason of your use of the site and our Service, your violation of these Terms and applicable laws.

Notwithstanding, if SOL is found to be liable by a court of competent jurisdiction in relation to the use of this

site, then to the maximum extent permitted by law, shall only be liable to the aggrieved party limited only up to the amount paid for the subject purchase made on the website or AED 500, whichever is lesser.

15. Disputes

Any issue which may give rise to a dispute may be communicated to us through shop@solfloralboutique.ae. We shall strive to resolve the issue as soon as practicable, but not exceeding thirty (30) days from date of our receipt acknowledgment. If no agreement is reached within the given period, the parties agree to

conclusively settle the same before an arbitrator in Abu Dhabi, UAE, and to be governed in accordance with the provisions on arbitration provided in the Abu Dhabi Commercial Conciliation & Arbitration Centre's 10

Procedural Regulations and through an arbitration board comprising of one (1) arbitrator who shall be nominated and summoned up in accordance with the rules and procedures provided in the Centre's Procedural Regulations. In case of non-settlement, the same shall be heard only by court of competent jurisdiction in U.A.E.

16. Legal Construction

United Arab of Emirates (UAE) is our country of domicile. These Terms and Conditions shall be governed by and interpreted according to the laws of UAE. SOL CAFE AND FLORAL BOUTIQUE L.L.C, the Seller/Manufacturer and Customer consent and submit to the jurisdiction of the courts of UAE. Any provision herein which is prohibited or unenforceable under the law shall be ineffective or unenforceable to the extent

of such prohibition or unenforceability, without invalidating the remaining valid provisions hereof.

17. Changes and Amendments

SOL CAFE AND FLORAL BOUTIQUE L.L.C reserves the right to change, modify, or temporarily or permanently discontinue the website or mobile app without notice and in its sole discretion with no liability to the Service Providers, Users, Customers third parties or anybody whatsoever due to such changes or discontinuance.
